    1. Acceptance of Terms

    By accessing or using Vocaid's AI-powered interview practice and recruitment platform (the "Service"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Vocaid Technologies, Inc. ("Vocaid," "we," "us," or "our").

    If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

    2. Description of Service

    Vocaid provides an AI-powered platform for interview practice and recruitment, including:

    • AI-driven voice interviews with real-time natural language conversation
    • Personalized interview question generation based on job descriptions and resumes
    • Speech-to-text transcription and voice analysis for communication coaching
    • AI-generated performance scoring across multiple competency dimensions
    • Video recording and behavioral analysis of non-verbal communication (with explicit consent)
    • Computer vision-based liveness verification and gaze tracking (with explicit consent)
    • Resume analysis and ATS (Applicant Tracking System) scoring
    • Multi-language support for interviews in 10+ languages
    • B2B hiring workflow tools including candidate management, team voting, and collaborative evaluation

    3. Eligibility

    You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

    The Service is available in select jurisdictions. We reserve the right to restrict access from jurisdictions where the Service cannot be offered in compliance with applicable law.

    4. User Accounts

    To access certain features, you must create an account. You are responsible for:

    • Maintaining the confidentiality of your account credentials
    • All activities that occur under your account
    • Providing accurate and up-to-date information
    • Notifying us immediately of any unauthorized access to your account

    We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

    5. Credits and Payments

    Our Service operates on a credit-based and subscription-based system:

    • New users receive 3 free interview credits upon phone verification
    • Subscription plans include monthly credit allowances with additional features
    • Credits are non-transferable between accounts
    • Unused credits expire at the end of each billing cycle unless otherwise stated
    • Subscription fees are billed in advance on a monthly or annual basis
    • Refunds are available within 7 days of purchase if no credits have been consumed

    All prices are listed in USD unless otherwise specified. We reserve the right to change pricing with 30 days' notice to existing subscribers.

    6. AI Disclosure and Consent

    The Service extensively uses artificial intelligence and machine learning technologies. By using the Service, you acknowledge and agree to the following:

    • Interview conversations are conducted by AI, not human interviewers
    • Performance scores and feedback are generated by AI algorithms and represent probabilistic assessments, not objective measurements
    • AI-generated scores may vary based on factors including language, accent, audio quality, and internet connection
    • The Service does not guarantee employment outcomes — interview practice results are for educational and preparatory purposes only
    • Behavioral analysis features use computer vision to analyze non-verbal communication signals and require separate explicit consent
    • We do not use emotion recognition or inference in workplace assessment contexts, in compliance with the EU AI Act

    You expressly acknowledge and agree that:

    AI-Specific Disclaimers

    • AI SCORES ARE ADVISORY ONLY — All AI-generated performance scores, feedback, competency assessments, and coaching recommendations are provided as general guidance for interview preparation. They do not constitute professional career advice, employment guarantees, or objective evaluations of your qualifications.
    • NO RELIANCE FOR HIRING DECISIONS — If you are an employer or recruiter using the Service, AI-generated scores must not be the sole basis for any hiring, promotion, termination, or other employment decision. Human review and independent judgment must be applied to all employment-related decisions.
    • AI SYSTEM LIMITATIONS — Our AI systems may produce inaccurate, incomplete, or biased outputs. Factors such as audio quality, accent, language proficiency, background noise, network latency, and cultural communication norms may affect the accuracy of assessments. We do not guarantee the accuracy, completeness, or fairness of any AI-generated output.
    • THIRD-PARTY AI PROVIDERS — The Service utilizes third-party AI models (including OpenAI and Google AI) for speech-to-text, natural language processing, and other functions. We are not responsible for the inherent limitations, biases, or errors of third-party AI systems.
    • NO LEGAL, MEDICAL, OR PROFESSIONAL ADVICE — AI-generated feedback does not constitute legal, medical, psychological, or professional career counseling. Seek qualified professional advice for such matters.

    7. Privacy and Data Use

    Your privacy is important to us. Our Privacy Policy explains in detail how we collect, use, disclose, and protect your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

    Audio and video recordings are retained for a limited time (30 days) to provide feedback, then automatically deleted. When you enable your camera, our behavioral analysis modules may analyze non-verbal communication with your explicit consent. Raw visual analysis data is not permanently stored.

    You may opt in to allow your anonymized data to be used for AI model improvement. This is entirely optional and does not affect your access to or experience with the Service.

    8. Acceptable Use

    You agree not to:

    • Use the Service for any illegal or unauthorized purpose
    • Attempt to gain unauthorized access to our systems or other users' accounts
    • Share your account credentials with others or allow others to use your account
    • Upload malicious content, malware, or code designed to disrupt the Service
    • Interfere with the proper functioning of the Service or its infrastructure
    • Reverse engineer, decompile, or attempt to extract our algorithms or proprietary technology
    • Use the Service to discriminate against any individual or group based on protected characteristics
    • Misrepresent AI-generated scores as official hiring evaluations or employment guarantees
    • Use automated tools (bots, scrapers) to access the Service without written permission
    • Resell, sublicense, or redistribute access to the Service

    Violation of these restrictions may result in immediate suspension or termination of your account and, where applicable, legal action.

    9. Intellectual Property

    All content, features, functionality, software, and technology of the Service are owned by Vocaid Technologies, Inc. and are protected by international copyright, trademark, patent, and other intellectual property laws.

    You retain ownership of content you upload to the Service (such as resumes and profile information). By uploading content, you grant Vocaid a non-exclusive, worldwide, royalty-free license to use, process, and store that content solely for the purpose of providing the Service to you.

    AI-generated interview feedback, scores, and coaching recommendations produced by the Service are provided for your personal or organizational use. You may not commercially redistribute AI-generated content from the Service without written permission.

    10. Disclaimer of Warranties

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) AI-generated scores or feedback will be accurate, complete, or reliable; (c) use of the Service will result in employment or improved interview performance; (d) any defects in the Service will be corrected.

    Interview practice results are for educational and preparatory purposes only and should not be relied upon as the sole basis for hiring decisions.

    11. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VOCAID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

    This includes, without limitation, damages for loss of profits, goodwill, data, or other intangible losses, even if we have been advised of the possibility of such damages.

    IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

    Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

    AI Limitation of Liability

    WITHOUT LIMITING THE FOREGOING, VOCAID SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR CLAIMS ARISING FROM: (A) RELIANCE ON AI-GENERATED SCORES, FEEDBACK, OR RECOMMENDATIONS FOR EMPLOYMENT DECISIONS; (B) INACCURACIES, BIASES, OR ERRORS IN AI-GENERATED OUTPUTS; (C) EMPLOYMENT OUTCOMES OR LACK THEREOF RESULTING FROM USE OF THE SERVICE; (D) DECISIONS MADE BY THIRD-PARTY AI PROVIDERS INTEGRATED INTO THE SERVICE; OR (E) ANY ACTION TAKEN OR NOT TAKEN BASED ON AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICE.

    12. Indemnification

    You agree to indemnify, defend, and hold harmless Vocaid Technologies, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

    • Your use of or access to the Service
    • Your violation of these Terms
    • Your violation of any third party's rights, including intellectual property rights
    • Any content you upload or submit through the Service
    • Your use of AI-generated scores or feedback in hiring or employment decisions

    13. Internationale Nutzung und Compliance

    Cross-Border Data Transfers

    14. KI-Regulierungskonformität

    Vocaid setzt bei der Erbringung des Dienstes künstliche Intelligenz ein. Unsere KI-Systeme unterliegen regulatorischen Rahmenbedingungen in mehreren Rechtsordnungen.     Wenn Sie als Arbeitgeber, Personalvermittler oder organisatorischer Bereitsteller den Dienst für Einstellungs- oder Kandidatenbewertungszwecke nutzen, erkennen Sie an, dass Sie möglicherweise unabhängige rechtliche Verpflichtungen gemäß geltender KI-Regulierung haben. Diese umfassen unter anderem:

    • EU AI Act: Betreiber von Hochrisiko-KI-Systemen müssen Grundrechte-Folgenabschätzungen durchführen, menschliche Aufsicht implementieren und betroffene Personen darüber informieren, dass sie KI-gestützten Entscheidungen unterliegen (Artikel 26-27)

    Vocaid stellt Werkzeuge und Dokumentation bereit, um Betreiber bei der Erfüllung ihrer Pflichten zu unterstützen, jedoch bleiben Betreiber unabhängig für ihre eigene Compliance verantwortlich.     15. Dispute Resolution

    Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through the following process:

    1. Informal Resolution: Before initiating formal proceedings, you agree to contact us at support@vocaid.ai and attempt to resolve the dispute informally for at least 30 days.
    2. Binding Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Delaware, USA, or remotely at your election.
    3. Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

    Class Action Waiver

    Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

    Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. If your claim does not exceed $10,000, Vocaid will reimburse your filing fee and pay the arbitrator's fees. Each party shall bear its own attorneys' fees unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party.

    You may opt out of this arbitration provision by sending written notice to support@vocaid.ai within 30 days of first accepting these Terms. If you opt out, neither you nor Vocaid will be required to arbitrate disputes and may instead litigate in a court of competent jurisdiction.

    Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Small claims court actions are also excluded from the arbitration requirement.

    These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

    International Users

    Rechtsordnungsspezifische Hinweise: Die vorstehenden Schieds- und Streitbeilegungsbestimmungen unterliegen folgenden rechtsordnungsspezifischen Einschränkungen: (a) EU/EWR-Nutzer: Wenn Sie Verbraucher mit Wohnsitz in der EU/dem EWR sind, gelten die zwingenden Verbraucherschutzgesetze Ihres Mitgliedstaats. Schiedsverfahren sind nach brasilianischem Recht optional und können Verbrauchern nicht auferlegt werden. Zuständig ist der Gerichtsstand Ihres Wohnsitzes. (d) Mexikanische Nutzer: Wenn Sie Verbraucher mit Wohnsitz in Mexiko sind, können Sie eine Lösung über PROFECO (Procuraduria Federal del Consumidor) anstreben. (e) Kolumbianische Nutzer: Wenn Sie Verbraucher mit Wohnsitz in Kolumbien sind, können Sie eine Lösung über die Verbraucherschutzabteilung der SIC (Superintendencia de Industria y Comercio) anstreben. (f) Kanadische Nutzer: Wenn Sie Verbraucher mit Wohnsitz in Kanada sind, können provinzielle Verbraucherschutzgesetze gelten. Das Verbraucherschutzgesetz von Quebec kann die Durchsetzbarkeit von Schiedsklauseln gegenüber Verbrauchern einschränken. (g) Kalifornische Nutzer: Einwohner Kaliforniens behalten alle Rechte gemäß dem CCPA/CPRA zusätzlich zu den in diesen Bedingungen festgelegten Rechten.

    16. Termination

    You may terminate your account at any time through your account settings or by contacting us at support@vocaid.ai.

    We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, non-payment, or extended inactivity.

    Upon termination: (a) your right to use the Service ceases immediately; (b) we will retain your data for the periods specified in our Privacy Policy; (c) you may request export of your data within 30 days of termination by contacting support@vocaid.ai.

    17. Changes to Terms

    We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or through a prominent notice on the Service at least 30 days before the changes take effect.

    Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
